Delivery Terms and Conditions for Spices Export
1. Product Specifications
All spices supplied will meet the agreed-upon quality, grade, packaging, and labeling standards as per the Proforma Invoice and/or Purchase Order.
2. Packaging
Spices will be hygienically packed in food-grade, moisture-proof, and tamper-evident packaging.
Packaging type (e.g., jute bags, vacuum-sealed pouches, HDPE bags, cartons) will be as mutually agreed.
Each package will be labeled with product name, net weight, lot number, date of packing, expiry date, and country of origin.
3. Minimum Order Quantity (MOQ)
MOQ will be stated in the quotation or agreement. Orders below MOQ may incur additional costs.
4. Delivery Terms
Delivery shall be based on the agreed Incoterm (e.g., FOB, CFR, CIF, EXW).
The exporter will deliver the goods to the designated port or location as per contract.
Exporter is not responsible for any delays due to customs clearance, shipping line delays, or force majeure events.
5. Delivery Time
Standard delivery time is [15–30 working days] from receipt of advance payment and order confirmation.
The delivery schedule may vary depending on product availability and shipping schedules.
6. Shipping & Documentation
The following documents will be provided:
Commercial Invoice
Packing List
Certificate of Origin
Phytosanitary Certificate (if required)
Bill of Lading / Airway Bill
Fumigation Certificate (if applicable)
SGS/Third-party inspection certificate (if agreed)
7. Insurance
For CIF contracts, marine insurance will be provided by the exporter.
For FOB/CFR contracts, the buyer must arrange insurance at their own cost.
8. Payment Terms
Advance payment: [30%–50%] on order confirmation.
Balance before shipment or against copy of shipping documents.
Payment via T/T (Telegraphic Transfer), LC (Letter of Credit), or as mutually agreed.
9. Inspection & Quality Control
Goods will be inspected before dispatch to ensure quality.
Third-party inspection charges (if required by buyer) will be borne by the buyer unless otherwise agreed.
10. Force Majeure
The exporter shall not be liable for delays or non-performance due to events beyond control such as natural disasters, strikes, war, pandemics, or government regulations.
11. Claims and Disputes
Claims for damage, shortage, or quality issues must be notified in writing within 7 days of receipt.
In case of disputes, resolution will be sought through mutual discussion. If unresolved, the matter shall be settled under the laws of INDIA.
12. Governing Law
This agreement shall be governed by and construed in accordance with the laws of [Your Country, e.g., India].
